Terms of Service & Studio Conditions

The legally binding agreement governing your access to Hermes Content Factory, autonomous media pipelines, YouTube API services integration, and commercial asset rights.

gavelBinding Creator Agreement & Operating Parties

By installing, accessing, or operating Hermes Content Factory (“Hermes,” “we,” “us,” or “our”), you (“User,” “Creator,” or “Operator”) agree to be legally bound by these Terms of Service. Hermes is maintained by Hermes Content Studio Engineering & Operations. If you are operating Hermes on behalf of a media organization, agency, or YouTube multi-channel network (MCN), you represent and warrant that you possess full legal authority to bind that entity.

01.License to Use Hermes & Studio Scope

Subject to your continuous compliance with these Terms, Hermes grants you a personal, non-exclusive, non-transferable, revocable license to install, configure, and execute the Hermes Content Studio software within your authorized workstation, cloud instance, or private virtual server.

Hermes is provided to automate research, script generation, voice synthesis, thumbnail creation, and video assembly. You are prohibited from reverse-engineering, sublicensing, or deploying Hermes to operate a public competing SaaS service without explicit written consent.

02.Intellectual Property & Content Rights

User Content: As between Hermes and the user, the user retains their existing rights in the inputs, topic prompts, scripts, reference materials, branding, audio clips, and other materials they provide to the service. Subject to applicable law and the terms of the relevant third-party providers, users may use, modify, export, and commercially exploit generated outputs.

AI-Generated Outputs: Hermes does not guarantee that generated content is copyrightable, exclusive, unique, or eligible for copyright protection in any jurisdiction. Similar or identical outputs may be generated for other users utilizing similar prompts. The user is solely responsible for determining whether their intended use of AI outputs is lawful, original, and appropriately licensed.

Third-Party Materials: Music stems, stock footage, imagery, fonts, and synthesized voices obtained through external integrated services (e.g., Pexels, ElevenLabs, Freesound, OpenRouter providers) remain subject to their respective third-party licenses and restrictions. Hermes does not grant rights beyond those provided by the relevant rights holder or API provider.

User Responsibility & Clearances: Users must obtain all necessary permissions and clearances for all supplied materials and published content, including permissions relating to copyright, trademarks, privacy, publicity rights, voice likenesses, and all applicable statutory rights.

03.YouTube & Third-Party Platform Compliance

Users utilizing Hermes' YouTube integration (OAuth 2.0 or browser automation) contractually agree to comply with:

Contractual Human Review Obligation:

Users are strictly obligated to authorize each publishing, editing, scheduling, or deletion action through Hermes' review and confirmation controls. Before any action is executed, the user must actively inspect the target channel ID, final video preview, audio levels, title, tags, description, and visibility settings (Public, Unlisted, or Private).

A default Private or Unlisted upload setting is a safety safeguard and does not by itself guarantee compliance with platform rules once made public.

04.Originality, Repetitive Content & Monetization Compliance

policyProhibition on Mass-Produced Repetitive Spam

YouTube's monetization guidelines explicitly state that channels featuring mass-produced, templated, or repetitive content with limited original editorial value may be declared ineligible for the YouTube Partner Program (YPP) or subject to monetization revocation.

  • No Programmatic Spam: Users must not utilize Hermes to generate or publish programmatic spam, deceptive clickbait, or low-effort repetitive videos.
  • Creator Editorial Duty: Users are solely responsible for ensuring that published videos provide substantive original value, creative synthesis, and genuine commentary.
  • No Monetization Warranty: The use of AI-generated scripts, synthesized voices, or automated edits does not establish monetization eligibility. Hermes makes no representation or warranty regarding YouTube Partner Program approval, continued monetization, subscriber velocity, or protection against copyright claims, community strikes, or account suspensions.
  • Synthetic Media Disclosures: Users must accurately declare when content contains realistic altered or synthetic media in compliance with YouTube disclosure policies.

05.AI-Generated Content & Independent Fact-Checking

Hermes uses automated probabilistic language models and synthetic generation systems that may produce inaccurate, incomplete, misleading, outdated, biased, or non-original material. Generated scripts, factual citations, historical statements, and financial statistics require independent verification.

Users are strictly responsible for reviewing all generated materials prior to publication, ensuring that factual and commercial claims are adequately supported, and obtaining necessary legal clearances. Hermes does not warrant quality, truthfulness, originality, or commercial success.

06.Analytics Projections & RPM Estimates Disclaimer

Hermes provides analytical dossiers including estimated RPM (Revenue Per Mille), projected view velocity, competitive saturation scores, and whitespace market recommendations.

These analytics are mathematical projections based on historical regional CPM baselines and public metadata. They do not constitute financial, legal, or investment advice. Actual audience retention, algorithmic distribution, and ad revenue vary widely based on platform dynamics outside of Hermes' control.

07.User Representations & Warranties

You represent, warrant, and covenant to Hermes that:

  • You own or hold all required licenses, consents, and permissions for all media, trademarks, brand names, and voice likenesses you input into Hermes.
  • Your content and publishing actions will not infringe, misappropriate, or violate any third-party intellectual property or privacy right.
  • You will never input or attempt to store Google account usernames or passwords in Hermes.
  • You will comply with all applicable local, national, and international laws, including consumer protection and export control regulations.

08.Third-Party Services & BYOK Billing

Hermes interfaces with external third-party APIs (including YouTube Data API, OpenRouter, DeepSeek, ElevenLabs, Cloudflare Flux, and ByteDance). These third parties maintain their own independent terms, pricing models, and service levels. Third parties may alter, restrict, rate-limit, or discontinue their APIs at any time, which may disrupt Hermes features.

You remain solely responsible for your third-party API accounts, billing, quotas, and security. Hermes is not liable for third-party service outages or API charges incurred.

09.Service Availability & Independent Backup Duty

Automated video rendering pipelines rely on network bandwidth, FFmpeg processing, GPU compute, and external inference endpoints. Renders may fail, timeout, or experience corruption. Hermes does not warrant uninterrupted or error-free operation.

Backup Obligation: You are contractually obligated to maintain independent, external backup copies of all critical scripts, narration audio stems, project files, and rendered video exports. Hermes is not an archival storage provider.

10.Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hermes, its operator (Hermes Content Studio Engineering & Operations), affiliates, officers, contributors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of Hermes; (b) any content, scripts, or videos generated, approved, or published by you; (c) your violation of these Terms; (d) your infringement of third-party intellectual property, publicity, or privacy rights; or (e) your breach of YouTube Terms of Service or Community Guidelines.

11.Disclaimer of Warranties & Limitation of Liability

AS-IS PROVISION: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HERMES IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY.

CONSEQUENTIAL DAMAGES EXCLUSION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERMES AND ITS OPERATORS, CONTRIBUTORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, ADVERTISING REVENUE, CHANNEL DEMONETIZATION, AUDIENCE REACH, GOODWILL, DATA LOSS, SYSTEM DOWNTIME, OR REPUTATIONAL DAMAGE.

LIABILITY CAP: TO THE EXTENT NOT PROHIBITED BY LAW, HERMES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SOFTWARE SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO HERMES FOR STUDIO ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS LESS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE CONSUMER PROTECTION OR STATUTORY LAWS.

12.Suspension, Termination & Disconnection

We reserve the right to suspend or terminate your access to Hermes immediately and without prior notice in the event of any material breach of these Terms, unlawful activities, or abuse of third-party platform APIs.

You may terminate these Terms at any time by ceasing all use of Hermes, disconnecting connected channels, and deleting stored application files. Upon channel disconnection, stored OAuth tokens and session data are purged within 24 hours in accordance with our Privacy Policy.

13.Governing Law & Dispute Resolution

Applicable Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Informal Dispute Resolution: Prior to initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal consultation. Notice of dispute should be sent to support@hermescontent.io.

Jurisdiction: Any dispute that cannot be resolved informally within thirty (30) days shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India, subject to applicable consumer protection regulations.

14.Modifications to Terms & Contact

We may update these Terms periodically to reflect enhancements to our autonomous pipelines or adjustments to regulatory requirements. Material modifications will be notified via in-app notification banners in the Hermes Studio interface.
